Terms of Service

1. Acceptance of Terms

By accessing or using GhostOps ("the Service"), operated by Magpiexyz Ltd ("we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

GhostOps is an AI-powered operations platform for Shopify store owners. The Service provides four AI agents that assist with customer support triage, product description generation, social media content creation, and email marketing campaign management. The Service integrates with your Shopify store, social media platforms, and email sending providers via authorized OAuth connections.

3. Account Registration

To use the Service, you must create an account by providing a valid email address and password. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. You must be at least 18 years old to create an account and use the Service.

4. Subscription Plans and Billing

GhostOps offers three subscription tiers: Starter ($79/month), Growth ($149/month), and Scale ($249/month). A free tier with limited generations is available for evaluation purposes.

• Subscriptions are billed monthly in advance through Stripe.
• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
• No refunds are provided for partial months of service or unused AI generations.
• We reserve the right to change pricing with 30 days' notice to existing subscribers.
• Usage limits (AI generations per month) reset on the first of each calendar month.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Send spam, phishing, or unsolicited commercial communications through the email agent.
• Generate content that is defamatory, obscene, abusive, or promotes illegal activities.
• Attempt to reverse-engineer, decompile, or extract source code from the Service.
• Use automated means to access the Service beyond the provided API and integrations.
• Exceed your plan's usage limits through circumvention or abuse.
• Impersonate any person or entity, or misrepresent your affiliation.

6. AI-Generated Content

The Service uses artificial intelligence to generate content including support responses, product descriptions, social media posts, and email campaigns. You acknowledge and agree that:

• AI-generated content may contain errors, inaccuracies, or inappropriate material.
• You are solely responsible for reviewing, editing, and approving all AI-generated content before it is published, sent, or otherwise made available to your customers.
• We do not guarantee the accuracy, completeness, or suitability of AI-generated content for any particular purpose.
• You retain ownership of the content generated by the Service using your data and prompts.
• We may use anonymized, aggregated usage data to improve the Service.

7. Third-Party Integrations

The Service integrates with third-party platforms including Shopify, X (Twitter), Facebook, Instagram, Stripe, and email sending providers. Your use of these integrations is subject to the respective third-party terms of service. We are not responsible for the availability, accuracy, or reliability of third-party services. You authorize us to access your connected accounts solely for the purpose of providing the Service features you have enabled.

8. Data and Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your data. By using the Service, you consent to the data practices described in our Privacy Policy.

9. Intellectual Property

The Service, including its design, code, features, and documentation, is owned by Magpiexyz Ltd and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your business operations during your subscription period. This license does not include any right to sublicense, resell, or redistribute the Service.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Magpiexyz Ltd and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of the Service. Our total liability for any claims arising under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

12. Termination

We may suspend or terminate your account and access to the Service at any time, with or without cause, with or without notice. You may terminate your account at any time by canceling your subscription and contacting us. Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy and applicable data retention requirements.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
